SubEasy Terms of Service

When you use any SubEasy products or services, you agree to these latest Terms of Service ("Terms"). Violation of these Terms may, at our discretion, result in suspension or termination of your account.

We may update these Terms at any time. If we make significant changes, we will refresh the date at the top of this page and take appropriate steps to notify account holders.

Definitions

"Company," "we," "our," or "us" in any of our policies or terms refers to Bikgo Network Ltd.

"Services" refers to our websites and any product created and maintained by Bikgo Network Ltd., whether delivered within a web browser, desktop application, mobile application, or another format.

"You" or "your" refers to the people or organizations that own an account with one or more of our Services.

When you use our Services, now or in the future, you are agreeing to the latest Terms. This applies to our existing and future products and to all features we add to the Services over time. If we do not exercise or enforce any right or provision of these Terms, we are not waiving that right or provision. These Terms contain a limitation of our liability.

Account Terms

You are responsible for maintaining the security of your account and password and for ensuring that any users under your account do the same. The Company cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

You are responsible for all content posted to and all activity that occurs under your account, including content posted by and activity of any users in your account.

You must be a human. Accounts registered by bots or other automated methods are not permitted.

Payment, Refunds, and Plan Changes

If you are using a free version of one of our Services, it is genuinely free: we do not ask you for your credit card or sell your data.

For paid Services that offer a free trial, we explain the length of the trial when you sign up. After the trial period, you need to pay in advance to keep using the Service. If you do not pay, the Service will end.

If you upgrade from a free plan to a paid plan, we will charge your payment method immediately and your billing cycle starts on the day of the upgrade. For other upgrades or downgrades in plan level, the new rate starts from the next billing cycle.

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. Where required, we will collect and remit those taxes on behalf of the taxing authority. Otherwise, you are responsible for payment of all taxes, levies, or duties.

Unless otherwise stated, all purchases are non-refundable. You can cancel any paid Service at any time by logging into your account. For paid subscriptions, your cancellation will take effect at the end of the current paid term unless otherwise stated; for example, deleting your account will typically cancel all subscriptions immediately.

Cancellation and Termination

You are solely responsible for properly cancelling or deleting your account. Within the Services, we provide the ability to cancel or delete your account. An email or phone request to cancel your account is not automatically considered cancellation. If you need help cancelling your account, you can contact us.

When you delete a video or transcript, it becomes immediately inaccessible. Accounting for database backups, it will be fully purged from our systems within 7 days.

If you delete your account, all associated content will be removed within 30 days. Once information has been permanently deleted, we cannot recover it.

Audio files are retained for 5 days after upload and are then automatically deleted, regardless of any action on your part.

If you cancel the Service before the end of any paid-up time, your cancellation will take effect immediately, and you will not be charged again. We do not automatically prorate unused time in the last billing cycle.

We reserve the right to suspend or terminate your account and refuse any current or future use of the Services for any reason at any time. Suspension means you and any other users on your account will not be able to access the account or any content in the account. Termination may result in deletion of your account, your access to your account, and all content in your account.

Verbal, physical, written, or other abuse, including threats of abuse or retribution, directed at a Company employee or officer will result in immediate account termination.

Modifications to the Service and Prices

We intend to support our Services for as long as it is possible and reasonable to do so. That means we aim to continue maintaining security, privacy, and customer support for legacy Services. Sometimes it may become technically impossible to continue a feature, or we may redesign or close new signups for part of the Services.

We reserve the right at any time to modify or discontinue, temporarily or permanently, any part of the Services, with or without notice.

We may change the pricing structure for our products. If we choose to change prices for existing customers, we will give at least 30 days' notice via the email address on record. We may also post a notice on our websites or within the affected Services.

Uptime, Security, and Privacy

Your use of the Services is at your sole risk. We provide the Services on an "as is" and "as available" basis. We do not offer service-level agreements, but we take service reliability seriously.

We reserve the right to temporarily disable your account if your usage significantly exceeds the average usage of other customers. We will reach out to the account owner before taking action except in urgent cases where the level of use may negatively impact the performance of the Services for other customers.

We take measures to protect and secure your data through backups, redundancies, and encryption. All public Internet transmission is encrypted via SSL/TLS. Transcripts and text are stored on our servers in Los Angeles, United States, encrypted at rest. Database backups are encrypted.

You agree that SubEasy may process your data as described in these Terms and our Privacy Policy, and for no other purpose.

SubEasy employees do not proactively view your content. We may access the minimum amount of content necessary only when responding to a support request you make, or when manual intervention is required to resolve a technical fault, and only with your express permission.

AI Processing, Third-Party Models, and Customer Content

SubEasy does not use customer audio, video, transcripts, or translations to train or improve our own AI models.

Our default transcription workflow uses a custom-tuned version of Whisper that we deploy and operate on our own servers. On this default path, your audio is processed entirely within our infrastructure and is not transmitted to any third-party AI provider.

We also offer an optional Advanced transcription model that users may select on a per-job basis. This path may route audio to third-party providers, including but not limited to OpenAI's GPT-transcribe and Google's Gemini-transcribe. The Advanced model is not the default and is never applied unless a user explicitly chooses it.

For translation, we use large language models from providers including OpenAI, Anthropic, and Google. In our default configuration, text submitted for translation is processed through those providers' standard API endpoints; under their standard terms, submitted content may be used by those providers for model training.

For customers with confidentiality requirements, SubEasy can, by separate enterprise arrangement, route translation and Advanced-model workloads through zero-retention API endpoints that contractually exclude the data from provider training. This configuration may involve additional fees.

When you upload a video, we typically extract only the audio track to provide transcription. The original video file itself is not retained for processing and is not transmitted to any third-party AI provider under any configuration.

For clarity, only extracted audio may be transmitted to a third party when the Advanced transcription model is used, and only resulting text may be transmitted to a third party when translation is used. Original video files are not transmitted to third-party AI providers.

Copyright and Content Ownership

All content posted on the Services must comply with U.S. copyright law and other applicable laws.

You give us a limited license to use content submitted by you and your users as needed to provide the Services to you, but we claim no ownership rights over those materials. All materials you submit to the Services remain yours.

You agree and acknowledge that SubEasy may use your company's or organization's name, logo, and brand identifiers to identify you as a SubEasy user for publicity and display purposes. If you object to this usage, you may contact the SubEasy team to request removal.

We do not pre-screen content, but we reserve the right, without obligation, in our sole discretion to refuse or remove any content available through the Services.

The Company or its licensors own all right, title, and interest in and to the Services, including all intellectual property rights. You obtain no ownership rights in the Services as a result of your use. You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, or visual design elements without express written permission from the Company.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, use of the Services, or access to the Services without express written permission from the Company.

You must not modify another website so as to falsely imply that it is associated with the Services or the Company.

Service Adaptations and API Terms

We offer Application Programming Interfaces ("APIs") for some of our Services, including SubEasy.ai. Any use of the API, including through a third-party product that accesses the Services, is bound by these Terms plus the following specific terms:

  • You expressly understand and agree that we are not liable for any damages or losses resulting from your use of the API or third-party products that access data via the API.
  • Abuse or excessively frequent requests to the Services via the API may result in temporary or permanent suspension of your account's API access. The Company, in its sole discretion, will determine what constitutes abuse or excessive usage. If we need to suspend access, we will attempt to warn the account owner first. If your API usage could or has caused service downtime, we may cut off access without prior notice.

Liability

You agree that the Company is not liable to you or to any third party for damages of any kind resulting from use of the Services, inability to access data, unauthorized access to your data or account, or actions of any third party using the Services. The Company is also not liable for any other consequences related to these Terms or the Services.

Governing Law

These Terms and any related actions shall be governed by and construed in accordance with the laws of Hong Kong. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
